The company will delist from the NYSE after April 21 and transition remaining assets to a Maryland liquidating trust, finalizing its wind-down process.12

With the sale of its last property and board approval, Equity Commonwealth will convert common shares into beneficial interest units in a liquidating trust after delisting. Shareholders approved the dissolution plan with 85.5% support, and any future trust distributions are expected to be minimal as the REIT completes its exit.34

During the Dividend Right Period from April 11-21, 2025, Equity Commonwealth shares will trade with due bills. Investors selling shares in this window will forfeit rights to the final $1.60 distribution, which instead transfers to buyers, impacting shareholder strategy ahead of the NYSE delisting.52
